Effective October 23, 2026 · Version 1.0
1. Who this agreement is with
These Terms are a contract between Logikmancer LLC, a Minnesota limited liability company doing business as Smalti (“Smalti”, “we”, “us”), and the business that creates a Smalti organization (“Customer”, “you”).
- The person who signs up, or who later accepts updated Terms, accepts them for the Customer and confirms that they are at least 18 and authorized to bind the Customer, and that the Customer is using Smalti for its business, not as a consumer.
- Authorized Users are the people the Customer invites — owners, admins, managers and staff. They use Smalti under the Customer’s account. Staff are not parties to these Terms; the Customer is responsible for their use of the service.
- How Smalti handles personal information, including Authorized Users’, is described in the Privacy Policy, which forms part of these Terms.
2. The service and your accounts
Smalti is a hosted workforce tool: scheduling, shift trading, a time clock and clock tablets, timesheets and pay periods, checklists, team messaging, and the web console and mobile apps that reach them (the “Service”).
What Smalti is not. Smalti is not a payroll provider, an employer of record, or legal, tax or wage-and-hour advice. Overtime warnings, break pay, workweek and pay-period figures, and every other calculation are aids to the Customer’s own decisions. The Customer is responsible for paying its staff correctly and for meeting the employment and record-keeping laws that apply to it.
Accounts.
- Each Authorized User has their own login. Logins may not be shared, and a clock-tablet PIN belongs to one person.
- The Customer keeps passwords and tablet codes confidential and tells us at support@usesmalti.com of any unauthorized use it learns of.
- The Customer is responsible for what happens under its accounts, including who it invites and the roles it gives them.
3. Free trial
A new organization gets a 30-day free trial with every feature and no payment card. One trial per email address.
| Stage | When | What happens |
|---|---|---|
| Trial | Days 1–30 | Full Service |
| Grace | Days 31–44 | Full Service, with a reminder to subscribe |
| Locked | Day 45 | Admins can sign in only to export their data (people, punches, checklist answers, each pay period’s hours); staff and clock tablets are stopped |
| Erased | 90 days after locking (day 134) | The organization’s data is deleted, except time and checklist records (section 6) |
- While on a trial, an organization may send up to 50 emails a day and have up to 100 people.
- A trial may include a sample organization of made-up data. It is separate from the Customer’s own and is deleted with the trial.
- Subscribing at any stage before erasure keeps everything. We may extend a trial at our discretion.
- The trial is provided as is, without the commitments in section 7, and either party may end it at any time.
4. Fees, billing, renewal and cancellation
Price. Fees are set by the band of active people in the organization, counted on the previous month, with every feature and every location included. Prices start at $29 a month; organizations over 100 people are priced by quote. Current prices are available from support@usesmalti.com.
Billing. Until self-service billing launches, we invoice monthly by email; invoices are due within 15 days. Fees exclude taxes, which the Customer pays where they apply.
Renewal. A subscription renews monthly until cancelled. We will give at least 30 days’ notice of a price change, which applies from the next renewal.
Founding customers. A Customer who joins as a founding pilot keeps its price for 24 months from the start of its subscription.
Cancellation. The Customer may cancel at any time by writing to support@usesmalti.com. The Service continues to the end of the paid period, then the organization locks and is handled as in section 6.
Refunds. Fees already paid are not refunded, except where the law requires or where we end the Service without cause, when we refund the unused part of the period.
Late payment. If an invoice is more than 30 days overdue, we may suspend the Service after 10 days’ written notice.
5. Your responsibilities and acceptable use
The Customer is responsible for the staff data it puts into Smalti, and confirms it has the right to give it to us — including any notice to or consent from its staff that its law requires.
The Customer and its Authorized Users will not:
- share logins or PINs, or let someone clock in for another person;
- use Smalti to harass anyone, or send unlawful, abusive or misleading messages or announcements;
- upload malware, or try to reach another organization’s data, test our security without written permission, or overload the Service;
- scrape, copy, resell or reverse-engineer the Service, or use it to build a competing product;
- use Smalti for anything unlawful, including breaking employment, wage, privacy or anti-discrimination laws.
We may remove content or suspend an account that breaks this section, with notice where we reasonably can.
6. Your data
You own it. The Customer owns the data it and its Authorized Users put into Smalti (“Customer Data”). We use Customer Data only to provide, secure and support the Service, and as the Customer instructs — never for advertising, and we never sell it.
Our role. For staff personal information, the Customer decides what is collected and why; we process it on the Customer’s behalf. A data processing addendum is available on request.
Service providers. We use these subprocessors to run the Service, and will email the Customer’s admins about changes before they take effect:
| Provider | What for |
|---|---|
| Namecheap | The servers and database, in Phoenix, Arizona, United States |
| Backblaze | Encrypted nightly backups, kept 35 days, in its US East region, United States |
| Google Firebase, and Apple’s push service | Push notifications to phones: a short summary, never pay amounts; a new-message alert carries no message text |
| Cloudflare | Spam check on the sign-up and contact forms |
| Apple and Google | Distributing the mobile apps |
Security. Traffic is encrypted in transit; passwords are stored only as salted hashes; pay amounts are encrypted with a key per organization that is not stored in the database or its backups. No system is perfectly secure. If we confirm a breach affecting Customer Data, we will tell the Customer’s admins promptly, and in any case within 72 hours, with what we know then: what happened, what data was affected, and what we are doing. We will update them as we learn more, and help the Customer meet any notice duties it has to its staff.
Our access. Smalti staff access Customer Data only to provide support the Customer asks for, to keep the Service running and secure, or where the law requires. Pay rates are closed to Smalti staff unless one opens them for a stated reason, for at most an hour at a time; the Customer’s admins are told each time and it is recorded in their pay log.
Export. Admins can export their people, punches, checklist answers and pay-period hours at any time, including while a trial is locked.
After an organization ends. When a subscription ends or a trial is not taken up, the organization locks and its data is deleted 90 days later — except time and checklist records (clock-ins, clock-outs, breaks, corrections and checklist answers, and the names they belong to), which we keep for four years from when they were made so the Customer can meet its record-keeping duties, and then delete. The organization’s audit log and the history of its settings are kept with those records, for the same period, as the account of who changed them. The Customer may ask us in writing to erase those records sooner, accepting that it then holds the only copy it needs. Backups roll off within 35 days of a deletion.
7. Availability, support and changes
Availability. We work to keep Smalti running at all times but do not guarantee uptime. Planned maintenance is announced in advance where it may interrupt use. Punches made in the app or on a clock tablet while the Service is unreachable are kept on the device and sent when it returns.
Support. Email support@usesmalti.com or use usesmalti.com/support; we aim to reply within one business day.
Changes. We improve Smalti continually. We will give at least 30 days’ notice before removing a feature the Customer relies on, or making a change that materially reduces the Service.
8. Intellectual property and feedback
Smalti — the software, apps, design, name and marks — belongs to Logikmancer LLC. We give the Customer and its Authorized Users a non-exclusive, non-transferable right to use the Service under these Terms while the Customer’s account is active. If the Customer sends suggestions, we may use them without obligation.
9. Warranties
We will provide the Service with reasonable skill and care. Otherwise, to the extent the law allows, the Service is provided “as is” and “as available”, without other warranties of any kind, express or implied — including merchantability, fitness for a particular purpose and non-infringement — and we do not warrant that it will be uninterrupted or error-free, or that its calculations meet any law that applies to the Customer.
10. Limits of liability and indemnity
Cap. Each party’s total liability arising from these Terms is limited to the greater of (a) the fees the Customer paid in the 12 months before the claim and (b) US$500.
No indirect losses. Neither party is liable for lost profits, revenue, goodwill or data, or for indirect, special, incidental or consequential damages, even if told they were possible.
Not limited. These limits do not apply to the Customer’s duty to pay fees, to either party’s indemnity below, or to liability that the law does not allow to be limited.
Indemnity.
- The Customer will defend Logikmancer LLC against third-party claims arising from Customer Data or the Customer’s use of Smalti in breach of these Terms or the law — including claims by its staff about pay, hours or employment decisions — and pay resulting damages and reasonable costs.
- Logikmancer LLC will defend the Customer against third-party claims that the Service, as we provide it, infringes their intellectual property, and pay resulting damages and reasonable costs.
- The party asking for defense tells the other promptly and lets it control the defense.
11. Term, suspension and termination
These Terms start when the Customer accepts them and last while it has a trial or a subscription.
- The Customer may end them at any time by cancelling (section 4).
- Either party may end them on written notice if the other materially breaches them and does not fix the breach within 30 days.
- We may suspend access at once to stop a security threat, serious misuse, or unlawful use, and will tell the Customer why.
- When they end, the right to use the Service ends; sections 6 (after an organization ends), 8, 9, 10 and 12, and any unpaid fees, survive.
12. Law, disputes, changes and contact
Governing law. Minnesota law governs these Terms, without regard to its conflict-of-laws rules.
Disputes. The parties will first try in good faith, for 30 days, to settle a dispute by talking. If that fails, the state courts in Dakota County, Minnesota, or the federal courts for the District of Minnesota, have exclusive jurisdiction. Either party may instead bring a claim within its limits in conciliation (small claims) court in Dakota County, Minnesota. Either party may seek urgent relief in any court to protect its intellectual property or confidential information. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICE.
Changes to these Terms. We may update these Terms. We will email the Customer’s admins and show the change in the console at least 30 days before it takes effect, except for changes required by law. Continuing to use Smalti after that date means accepting the new Terms; a Customer that doesn’t accept may cancel before then and is refunded any prepaid fees for the remaining period.
Notices. We send notices to the email of the Customer’s admins; the Customer sends notices to legal@usesmalti.com.
General. These Terms and the Privacy Policy are the whole agreement and replace earlier ones. If a part is unenforceable, the rest stands. Not enforcing a right is not giving it up. Neither party may assign these Terms without consent, except to a successor of its business. Neither party is liable for delays caused by events beyond its reasonable control. We may name the Customer as a customer only with its permission.
